Welcome to MAAT Systems East Africa
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "you") and MAAT Systems EAST AFRICA ("MAAT", "Company", "we", "our", "us") governing your access to and use of our comprehensive suite of business solutions.
1Definitions
For clarity and understanding, the following terms have specific meanings throughout this Agreement:
- "Services" refers to all software applications, platforms, websites, APIs, and related services provided by MAAT Systems East Africa.
- "User Data" means any data, content, or information uploaded, submitted, or generated through our Services.
- "Account" refers to your registered user profile and associated access credentials.
- "Subscription" means any paid plan or service tier you have purchased or activated.
2Eligibility Requirements
To use our Services, you must meet the following requirements:
- Age Requirement: You must be at least 18 years of age, OR with explicit written consent from a parent or legal guardian.
- Legal Capacity: You must have the legal authority to enter into binding agreements in your jurisdiction.
- Accurate Information: All information provided during registration must be truthful and current.
- Professional Use: For certain enterprise features, you may need to demonstrate legitimate business use.
3Account Management & Security
Your account is your gateway to our Services. You are responsible for:
- Account Creation: Providing accurate, complete, and current information during registration.
- Security: Maintaining the confidentiality of your login credentials, passwords, and API keys.
- Monitoring: Regularly monitoring your account for unauthorized access or suspicious activity.
- Immediate Notification: Contacting us immediately upon discovering any security breach or unauthorized use.
- Account Responsibility: You are liable for all activities that occur under your account, whether authorized or not.
4Acceptable Use Policy
Our Services are provided for legitimate business and personal use. The following activities are strictly prohibited:
- Illegal Activities: Using our Services for any unlawful purpose or in violation of local, national, or international laws.
- Harmful Content: Uploading, sharing, or transmitting malicious code, viruses, or content that could harm our systems or other users.
- Unauthorized Access: Attempting to gain unauthorized access to our systems, other user accounts, or third-party systems.
- Reverse Engineering: Attempting to reverse engineer, decompile, or extract source code from our proprietary software.
- Resale & Distribution: Unauthorized reselling, redistributing, or sublicensing of our Services.
- Privacy Violations: Collecting, harvesting, or misusing personal information of other users without consent.
- System Abuse: Overwhelming our servers with excessive requests or attempting to disrupt service availability.
5Our Services
MAAT Systems East Africa provides specialized software solutions designed for various industries:
- C-DENT: Comprehensive dental practice management system for patient records, appointments, and billing.
- C-PHARM: Advanced pharmacy management solution for inventory, prescriptions, and regulatory compliance.
- C-POS: Point-of-sale system with inventory management, sales analytics, and customer relationship tools.
- C-MED: Medical practice management software for healthcare providers and facilities.
- C-SCHOOL: Educational institution management system for student records, scheduling, and administration.
We continuously improve our Services and may add new features, modify existing functionality, or discontinue certain features with appropriate notice.
6Data Protection & Privacy
We take data protection seriously and are committed to safeguarding your information:
- Data Collection: We collect only the minimum data necessary to provide our Services effectively.
- Data Security: Your data is protected using industry-standard encryption and security measures.
- Data Retention: We retain your data only as long as necessary for service provision and legal compliance.
- Data Portability: You have the right to export your data in commonly used formats upon request.

7Meta Platform Integration
When you choose to connect your Meta (Facebook/Instagram) account to our Services:
- Compliance: We strictly adhere to Meta's Developer Policies and Platform Terms.
- Data Minimization: We access only the minimum data required for the specific functionality you request.
- Data Retention: Meta-sourced data is automatically deleted within 90 days of account disconnection or as required by Meta's policies.
- User Control: You can disconnect your Meta account at any time through your account settings.
- Transparency: We clearly disclose what Meta data we access and how it's used in our Services.
8Intellectual Property Rights
Intellectual property ownership and usage rights are clearly defined:
- Our IP: All software, trademarks, logos, designs, and proprietary content remain the exclusive property of MAAT Systems East Africa or our licensors.
- Your License: We grant you a limited, non-exclusive, non-transferable license to use our Services for internal business or personal purposes only.
- Your Data: You retain ownership of all data and content you upload to our Services.
- License Grant to Us: You grant us a limited license to use your data solely for providing and improving our Services.
- Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services without explicit written permission.
9Payment Terms & Billing
For paid Services and subscriptions:
- Subscription Plans: Detailed pricing and terms will be clearly presented before any purchase or subscription activation.
- Payment Processing: All payments are processed securely through trusted third-party payment processors.
- Billing Cycles: Subscriptions are billed in advance according to your selected billing cycle (monthly, annually, etc.).
- Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
- Refund Policy: Refunds are handled according to our published Refund Policy, available in your account dashboard.
- Currency: All prices are displayed in Kenya Shillings (KES) unless otherwise specified.
10Service Availability & Support
We are committed to providing reliable, high-quality service:
- Uptime Goal: We strive for 99.9% service availability, though we cannot guarantee uninterrupted service.
- Maintenance: We may temporarily suspend access for scheduled maintenance, security updates, or system improvements.
- Emergency Downtime: Service may be interrupted for emergency maintenance, security incidents, or legal compliance.
- Customer Support: Technical support is provided during business hours (Monday-Friday, 8 AM - 6 PM EAT).
- Notifications: We will provide advance notice of planned maintenance whenever possible.
11Disclaimers & Limitation of Liability
Service Disclaimers:
- "As Is" Basis: Our Services are provided "as is" and "as available" without any warranties, express or implied.
- No Warranties: We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
- Data Accuracy: While we strive for accuracy, we do not warrant that all information in our Services is error-free or complete.
Limitation of Liability:
- Damage Limitations: We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
- Maximum Liability: Our total liability to you shall not exceed the amount you paid for our Services in the 12 months preceding the claim.
- Business Losses: We are not responsible for lost profits, business interruption, or loss of business opportunity.
12Account Termination
Either party may terminate this Agreement under the following conditions:
- Voluntary Termination: You may terminate your account at any time through your account settings or by contacting support.
- Termination for Cause: We may suspend or terminate your account immediately for violations of these Terms or applicable laws.
- Data Retention: Upon termination, we will retain your data for 30 days to allow for account reactivation, then permanently delete it unless legally required to retain it.
- Effect of Termination: Upon termination, your right to access our Services ends immediately, and any outstanding fees become due.
- Survival: Provisions relating to intellectual property, disclaimers, and limitation of liability survive termination.
13Dispute Resolution
We prefer to resolve disputes amicably and efficiently:
- Direct Communication: Please contact our support team first to attempt resolution of any issues.
- Mediation: If direct resolution fails, disputes may be resolved through mediation before pursuing legal action.
- Jurisdiction: Any legal proceedings must be initiated in the courts of Kenya.
- Time Limit: Any claims must be brought within one (1) year of the cause of action arising.
14Governing Law & Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the Kenyan courts.
15Updates to These Terms
We may periodically update these Terms to reflect changes in our Services, legal requirements, or business practices:
- Notification: Material changes will be communicated via email, in-app notification, or prominent website notice at least 30 days before taking effect.
- Continued Use: Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
- Version Control: We maintain a version history of our Terms, available upon request.
- Objection Rights: If you disagree with updated Terms, you may terminate your account before they take effect.
16Miscellaneous Provisions
- Severability: If any provision of these Terms is found invalid, the remaining provisions continue in full force.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the complete agreement between us.
- No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: We may assign these Terms, but you may not assign your rights without our written consent.
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.
